Your Tasks
- Under the guidance of the commercial counsel, and utilizing AI software, assist with the drafting, review, and negotiating a high volume of confidentiality, customer, vendor & service contracts to ensure contracts align with company risk/compliance objectives and business guidelines.
- Coordinate with internal teams to monitor compliance with corporate and legal standards and processes, including review and approval of documents before signature by management and filing of all signed documents
- Assist with the creation of the contract database and legal file structure; update and maintain legal files
- Monitor shared legal mailboxes, responding to, routing, and escalating messages as appropriate
- Work directly with sales and financial teams on customer insurance requests and financial security requirements
- Draft, review, and file corporate consents, resolutions, and related legal documents
- Organize and maintain litigation and claim files, including electronic and physical documents; initiate litigation holds, maintain internal litigation calendar and status report, and coordinate with outside counsel on legal matters.
- Support and coordinate gathering of internal information and generating responses to formal and informal claims and discovery requests
- Stay up to date with relevant laws, regulations, and legal procedures as appropriate.
Other tasks/functions and special projects as required.
Key Requirements:
- This position reports to and provides broad-based support to the sole commercial counsel, who has overall responsibility for legal/commercial/risk management, with a heavy focus on contract drafting and review. The successful candidate will be able to work with a high level of autonomy and integrity, effectively managing multiple projects simultaneously.
- Strong communication skills, ability to effectively work with a diverse group of internal and external contacts, and the confidence to enforce corporate policies and procedures when required
- Broad knowledge of corporate and legal matters or demonstrated desire and ability to learn.
- Solid calendaring, organizational, and multi-tasking skills.
- Excellent MS Office Suite and Adobe skills; strong general research and internet skills.
- Creative problem-solving and analytical skills, being very detail-oriented while understanding big picture/ downstream decision impact
- Ability to handle confidential information with discretion.
Your Skills
- BS/BA degree and Paralegal Certificate preferred.
- 3 years of prior experience independently reviewing/negotiating/redlining contracts required
5 years of prior experience, paralegal/equivalent experience
